The client may choose to acquire another party or be acquired, or divest a business unit. Sometimes it may not be apparently clear as to what type of acquisition target is good and what sort of acquisition technique to deploy.

Professional search and shortlisting: In most cases of M&A, the acquirer should not disclose its identity for obvious reasons. Firstly, if the company were a listed company, exposing its intention for specific M&A will invite too much attention, the need to explain to stock exchange regulators as well as exposing the financial standing of the company. Secondly, the company may lose out in the M&A process if the target of acquisition is known by competitors who could outbid the company or that they could launch any counteracting strategy to derail the M&A project. More and more international companies today are finding it necessary to opt for the outsourced manufacturing (OEM) or offshoring all together. Several reasons for this are:

(i) Risk Management is at an all time high due to the perceived increasing protectionism displayed by countries globally, with a broad use of trade barriers such as tariffs and specific taxes. Also, with increasing sanctions, offshore operations and offshore operatives need to be re-evaluated and options broadened.

(ii) Labor cost is a big issue to the company, in particular in developed countries. Therefore, outsourcing certain components and parts to be made in countries with cheaper labor costs is always an issue raised in boardrooms. However, countries with lower labor cost does not signify a more efficient workforce, hence careful deliberations and analyses are needed.

(iii) Close to sources of supply is another big consideration for companies, especially when relating to expensive raw materials and semi-finished parts. While quality is important, very often the cost of logistics and shipment time are not quantified properly to arrive at strategic decisions on OEM. Appointing an OEM in a country closer to your strategic sources of raw materials can improve your competitiveness greatly.

(iv) Close to rising markets is a another major point to consider if you look to appoint an OEM partner. Proximity of the intended OEM partner to a potentially new lucrative market for your products can change your entire strategy to competing. In this case, the OEM partner can double-hat as your regional distributor too.
